Matthew Sitzer maintains a dual-focus practice in commercial real estate and startup law, advising clients on a wide range of transactional and strategic matters.
In his real estate practice, he represents developers, investors, and institutions in complex commercial transactions, including acquisitions, dispositions, financings, construction, development and joint ventures. His work spans diverse property types, from urban high-rises to manufactured housing communities.
Matthew has substantial experience advising on construction and development matters, including build-to-suit developments, negotiation of construction contracts, and coordination of development agreements. He regularly counsels clients through the full lifecycle of construction projects—from site acquisition and entitlement, through design and construction phases, to project completion and lease-up. His work includes drafting and negotiating agreements with architects, engineers, general contractors, and subcontractors, as well as navigating regulatory and zoning considerations that impact development timelines and feasibility.
Matthew also has significant experience counseling startups and emerging companies. He advises founders and early-stage teams on entity formation, governance, and operational matters, and regularly guides clients through financing rounds from seed to Series A and beyond. His work includes negotiating term sheets, convertible note and SAFE agreements, and venture capital investments, as well as assisting international companies with U.S. market entry and cross-border regulatory issues.
Prior to LAVIAN, Matthew practiced at the real estate department of a leading New York City law firm.
