Daniel Lavian’s practice focuses on planning, structuring, and executing acquisitions, joint ventures, financings, leasings, and dispositions across a full spectrum of residential and commercial real estate assets.
Daniel represents purchasers and sellers in commercial real estate acquisitions and dispositions, (including fee, debt, and equity transactions); borrowers, capital partners and lenders in financing transactions (including acquisition, construction, bridge, mezzanine, and preferred equity financing); owners and tenants in retail, office, and industrial leasing; equity participants in joint ventures; and developers in ground-up and redevelopment projects involving office, retail, industrial, multifamily, hospitality, and mixed-use properties. Daniel also has significant experience advising borrowers, sponsors, and investors in debt restructurings, recapitalizations, workouts, and real estate special opportunities.
Daniel also counsels clients as outside general counsel, with a focus on businesses engaged in real estate investment, development, and operations, as well as startups and privately held companies across a range of industries. His work includes advising on organizational structuring, governance, capital formation, joint ventures, strategic partnerships, and commercial agreements. He guides clients through legal and business challenges with forward-looking strategies designed to support growth, stability, and long-term value creation.

REPRESENTATIVE TRANSACTIONS
- Represented an institutional investor in connection with the negotiation of numerous joint ventures with real estate developers throughout the United States.
- Representing a developer in the acquisition and development of a condominium project in downtown Manhattan, including a multi-tiered joint venture.
- Represented a developer in obtaining construction financing for the redevelopment of a landmarked property in Tribeca into a luxury residential condominium project.
- Represented an investment fund in the joint venture redevelopment of a mixed-use building in Manhattan.
- Represented an investor in a venture that originated an $85 million construction loan for the development of a mixed-use project in New York.
- Represented a foreign institutional investor in its investment in a rental development project in downtown Manhattan.
- Negotiated an acquisition, financing and preferred equity investment on behalf of a hospitality company with respect to a boutique hotel in Miami.
- Represented a New York developer in the construction financing of a ground-up development of a branded hotel in lower Manhattan in the amount of $90 million.
- Represented an investment fund in a $64 million acquisition and financing of 180,000 square foot hotel in Midtown New York.
- Represented an investment fund in the acquisition, joint venture, and financing of a $72 million office building in Brooklyn, New York.
- Represented a development in the acquisition, joint venture, and financing of a stalled development site in downtown Manhattan.
- Represented a family office as lender in restructuring a note-on-note facility covering mortgage loans on several properties in Manhattan.
- Represented a New York developer in the acquisition, financing and joint venture of a commercial property slated for redevelopment as a hotel in lower Manhattan.
- Represented a New York real estate firm in the acquisition of a defaulted loan, as well as the contemporaneous recast of the loan in connection with a troubled retail property in New York, New York.
- Represented a New York investor/developer in a joint venture as well as the acquisition and financing of property and development rights for the construction of a lower Manhattan hotel.
- Represented a New York developer in the sale of a commercial building to a REIT in Brooklyn, New York in the amount of $165 million.
- Represented a regional investor in the acquisition and financing of membership interests of a business and real estate warehouse facilities in the Northeast.
- Represented a New York investor in a series of acquisitions, financings and leasebacks of warehouse facilities with multi-layer debt stacks throughout the United States.
- Represented an investment manager as tenant in the lease of its office headquarters in Manhattan.
- Represented a New York real estate joint venture in the negotiation of a net lease of a commercial building in SoHo, New York.
- Represented a private real estate holding company in the negotiation of a junior participation interest of a construction loan in Miami, Florida.
- Represented a New York real estate investor in the negotiation of bridge financing for a redevelopment
project in Wynwood, Miami, Florida.
- Represented a private real estate holding company in the refinancing of a $42 million mortgage loan for a multi-tenant retail building located in New York, New York.
- Represented a private real estate holding company in the financing of a $22 million loan for the acquisition of three multifamily properties in Manhattan.
- Represented a private real estate holding company in the negotiation of a lease for ground floor and basement retail space in Manhattan with a national retailer.
